Mary Alice Rogers is a senior paralegal with Hyland Levin Shapiro LLP and is a member of the firm’s Business, Real Estate and Succession Planning, Trusts & Estates Practice Groups. Mary Alice works on matters involving corporate transactions, franchise, transactional real estate and finance, tax appeals, business planning and estate and trust administration.

Prior to joining Hyland Levin in 2009, Mary Alice was a paralegal for an Am Law 100 law firm in Philadelphia and a Senior Customer Specialist/Team Leader for a leading nationwide registered agent service provider.

Mary Alice has over 30 years experience in the end-to-end preparation, co-ordination, and filing of various entity life-cycle documents across all 50 states. Her expertise includes forming, qualifying, merging, dissolving, withdrawing, domesticating, and converting corporations, LLCs and other types of business entities ensuring compliance with jurisdictional requirements. She handles the obtaining of certificates of good standing, certified copies of formation documents, and other official records, and is proficient in the process of the authentication and legalization of documents for use in other countries. She also has significant experience in the preparation and filing of UCC’s and the obtaining of UCC and other types of lien searches. Mary Alice also works on the drafting of board and shareholder resolutions, minutes, and other corporate governance documents and handles the preparation and filing of state annual reports and the maintenance of corporate minute books and stock books for many of the firm’s corporate clients.

In the area of franchise law, Mary Alice assists with the preparation of annual Franchise Disclosure Documents. She also handles the preparation, coordination, and filing of franchise registration applications, renewals, amendments, and exemptions with the state franchise regulatory authorities.

Mary Alice also works in the area of estate and trust administration including probate; the collection, liquidation and transfer of probate and non-probate assets, and the preparation of federal and state estate and inheritance tax returns.

Mary Alice was born in Bronxville, New York and grew up in Freehold, New Jersey. She currently lives in Voorhees, New Jersey with her husband, Brian. Outside of work, she enjoys spending time with her dog, Lexxie, trips to the Jersey shore, hiking, cooking, gardening, and entertaining family and friends.
