Food and Beverage

Our food and beverage law group is an inter-disciplinary law group specifically designed to address the legal needs of the food and beverage industry.  Our team of attorneys provides a wide range of legal services and support to clients on operational, compliance, regulatory and business matters under a unified practice umbrella.  Our experience includes:

  • Serving as outside general counsel in the U.S. to international manufacturers and processors of foods and ingredients.
  • Representing distributors and supply chain logistic companies, including negotiating and structuring transportation and logistics contracts for shipping and warehousing food and beverage products.
  • Providing sophisticated real estate and financing, land use, environmental and leasing services to national franchisors, national and regional multi-unit franchise owners, wineries, restaurant tenants and local food and alcohol beverage retailers.
  • Due Diligence, negotiation and documenting mergers, acquisitions, financing and refinancing, stock and asset sales and joint ventures involving food and beverage businesses.
  • Representing national restaurant chains, shopping center developers, hotels, and local business owners in alcoholic beverage licensing and compliance matters in the State of New Jersey.
  • Active, ongoing counseling of food industry clients on supply chain transparency, e-commerce sales, codes of conduct, corporate social responsibility, OFAC requirements, and FDA, FSMA and USDA matters relating to food safety, food labeling and regulatory compliance.
  • Regularly drafting a wide range of commercial contracts relevant to the food industry including manufacturing, co-packing, product development, joint development, licensing, franchising, distribution, indemnification and guarantees, broker, agency and sales representatives, bailment, commercial warehousing, supplier, terms and conditions of sale, terms and conditions of purchase, floor stock, MNDAs, NDAs, private labels, independent contractor, management and consulting agreements.
  • Representing food and beverage clients in a complete range of commercial, regulatory and contract disputes and litigation matters, including the protection of trade secrets and confidential business information, transportation and supply chain disputes, internal and regulatory investigations, white-collar crime matters, indemnification claims, and employment related disputes.
