David G. Gunther, a partner with the firm, practices in the areas of business and franchise law. His business practice includes providing outside general counsel services to regional, national, and international companies, with a particular emphasis in advising food manufacturers. In this role, David has drafted and negotiated a wide variety of supply, distribution, software, transportation, warehouse, real estate, equipment, service, non-disclosure, and employment agreements. He provides advice on corporate governance, regulatory compliance, and issues involving corporate social responsibility. David also regularly counsels clients in connection with corporate transactions, including assets sales, stock sales, mergers, reorganizations, and dissolutions.

David’s franchise practice includes representing a wide variety of franchisors, from start-ups to established regional and national franchise systems. In addition to drafting franchise agreements, area development agreements and franchise disclosure documents, he regularly provides advice on franchise structuring, operational concerns, and compliance with franchise disclosure and relationship laws. He also represents franchisors in disputes with franchisees, including state and federal court litigation. David’s franchisee-side experience includes transactional representation of a national multi-unit, multi-brand franchisee which specializes in food concepts.

David is admitted to practice in New Jersey and Pennsylvania and is a member of the Burlington County Bar Association. Prior to joining the firm, David clerked for the Hon. Ronald E. Bookbinder, Assignment Judge of the New Jersey Superior Court for Burlington County.

David is a graduate of Wheaton College (B.A. 2004) and the University of Pennsylvania Law School (J.D. 2009), where he was awarded the Milton C. Sharp prize for excellence in land use law.
